In the event of a force majeure, we will make reasonable efforts to notify you and resume normal operations as soon as reasonably practicable.

10. Governing Law and Jurisdiction

These Terms shall be governed by, construed, and enforced in accordance with the laws of the Kingdom of Thailand, without regard to its conflict of law provisions. The Civil and Commercial Code of Thailand, the Electronic Transactions Act B.E. 2544 (2001), the Consumer Protection Act B.E. 2522 (1979), and other applicable Thai legislation shall apply to the interpretation and enforcement of these Terms.

You expressly agree that the courts located in Bangkok, Thailand shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or your use of the Website, and you irrevocably submit to the personal jurisdiction of such courts.

11. Dispute Resolution

We encourage you to contact us first to attempt to resolve any dispute informally. If you have a concern or complaint regarding the Website or these Terms, please reach out to us at [email protected] and we will endeavour to resolve the matter amicably within thirty (30) calendar days.

If a dispute cannot be resolved through informal negotiation, the parties agree to attempt resolution through mediation administered by a mutually agreed-upon mediator in Bangkok, Thailand, before pursuing formal legal proceedings. The costs of mediation shall be shared equally between the parties unless otherwise agreed.

Should mediation fail to resolve the dispute within sixty (60) days of initiation, either party may pursue formal legal proceedings before the competent courts in Bangkok, Thailand, as described in Section 10. Nothing in this clause prevents either party from seeking urgent interlocutory or injunctive relief from a court of competent jurisdiction.

For consumer-related disputes, you may also contact the Office of the Consumer Protection Board (OCPB) of Thailand or the Electronic Transactions Development Agency (ETDA) for guidance and assistance.

12. Modification of Terms

PARRA SERVICES CORP reserves the right to update, revise, or modify these Terms at any time at our sole discretion. When we make material changes, we will update the "Last Updated" date at the top of this page. In certain circumstances, we may also provide additional notice, such as an announcement on the Website or a notification via email (if you have provided your email address to us).

The severed provision shall be replaced by a valid provision that most closely reflects the intent of the original provision.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Website, constitute the entire agreement between you and PARRA SERVICES CORP with respect to your use of the Website and supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, relating to the same subject matter.
